USER/ASSOCIATE AGREEMENT
APPOINTMENT & APPROVAL
The Company, upon reviewing and verifying the submitted application, may register or appoint the Applicant as a User/Associate to promote and sell the products and/or services of the Company. The Company reserves the right to accept or reject any application at its sole discretion, without assigning any reason.
DECLARATION & AGREEMENT
The User/Associate hereby agrees to the following:
1.Understanding of Business Model
The User/Associate confirms that they have fully understood the marketing model, compensation plan, incentive structure, and associated terms and conditions. The User/Associate affirms that no reliance has been placed on misrepresentation, fraudulent inducements, or any unverified claims outside the officially published material of the Company. The User/Associate agrees to comply with all applicable provisions of the Consumer Protection Act, 1986 (as amended) and the Consumer Protection (Direct Selling) Rules, 2021.
2.Eligibility & Legal Capacity
The User/Associate confirms that they have read, understood, and accepted all terms and conditions. The User/Associate further certifies that they have attained the age of majority and have submitted a declaration to this effect.
3.Governing Documents
The relationship between the Company and the User/Associate shall be governed by this Agreement, the Company’s policies, and the marketing/incentive plan, as provided via the Company’s website or by other official means.
4.Independent Contractor Status
The User/Associate operates as an independent contractor. This Agreement does not create an employer-employee, agency, partnership, joint venture, or fiduciary relationship between the Company and the User/Associate. The User/Associate has no authority to bind or represent the Company in any capacity.
5.Tax and Legal Compliance
The User/Associate is solely responsible for all statutory and tax obligations, including but not limited to income tax and GST, arising from their income or operations.
6.Misconduct or Legal Violation
The Company shall not be held liable for any misconduct, unlawful activity, or misrepresentation carried out by the User/Associate. Any such actions are the sole responsibility of the User/Associate and are subject to legal consequences.
7.No Authorization to Collect Payments
The User/Associate is not authorized to collect or receive any payments on behalf of the Company. Any funds received by the User/Associate shall not be considered as received by the Company.
8.Accuracy of Information
The User/Associate declares that all information provided is true and accurate. If any information is later found to be false or misleading, the Company reserves the right to take appropriate legal or disciplinary action.
9.Disclosure of Relationship by Relatives
If a relative (as defined under the Income Tax Act, 1961 or Companies Act, 2013) of an existing User/Associate applies to join the Company, full disclosure must be made in writing. Acceptance of such applications is at the sole discretion of the Company.
PRIVILEGES OF THE USER/ASSOCIATE
1. Eligibility to earn incentives based on sales performance as per the Company’s compensation/incentive plan.
2. Access to their account and dashboard on the Company’s official website using authorized login credentials.
3. Entitlement to commissions proportional to personal and team sales, as outlined in the incentive plan.
4. A 30-day cooling-off period to terminate this agreement without penalties by providing written notice.
5. The right to return marketable products under the Company’s Buy Back Policy, accessible via the official website.
BUY BACK POLICY
Users/Associates may return products in good, resaleable condition with a minimum of 6 months shelf life.
* Within 30 days: Full refund.
* After 30 days: Refund minus applicable incentives and service charges.
OBLIGATIONS OF THE USER/ASSOCIATE
1. Shall not coerce, mislead, or induce others with false promises to purchase products or join the Company.
2. Shall actively promote the Company’s products/services.
3. Shall support Company promotional activities and present accurate product information to prospects.
4. Shall comply with all obligations under the Consumer Protection Act and Direct Selling Rules, as amended.
5. The Company may suspend privileges for non-compliance or unresolved complaints.
6. In case of death/incapacity, legal heirs may apply to continue the User/Associate position, subject to conditions.
7. Shall independently manage legal approvals, costs, and responsibilities for any promotional events.
8. Prohibited from promoting or selling through online platforms without written consent from the Company.
9. Shall ensure transparency, disclose relevant business information to customers, and protect consumer data as per applicable laws.
PROHIBITED CONDUCT
1. Shall not visit prospects without prior appointment or share unapproved literature.
2. Shall not misrepresent, mis-sell, or engage in fraudulent activity.
3. Shall avoid any coercive or unlawful means in promoting the business.
4. Shall not collect any unauthorized fees or provide misleading assurances to prospects.
5. Shall not participate in pyramid schemes or money circulation schemes.
MODIFICATION OF TERMS
The Company may amend this Agreement and its policies at any time. All updates shall be notified via the official website or through official channels. Continued engagement post-notification constitutes acceptance of changes. The User/Associate may terminate the agreement within 30 days if they disagree.
COMPENSATION
Incentives shall be paid as per the Company’s published Compensation Plan. The Company reserves the right to revise the structure at its discretion. No fixed income is assured; income depends solely on the User/Associate’s performance.
EXPENSES
The User/Associate shall bear all operational costs. No reimbursements shall be entertained beyond earned incentives.
PERMITTED PROMOTIONAL MATERIAL
Only Company-approved promotional materials may be used. Unauthorized use is strictly prohibited.
CUSTOMER COMPLAINTS
All customer complaints must be reported to the Company promptly.
NON-COMPETE CLAUSE
* During the Agreement Term:
User/Associate or their relatives shall not engage in competing direct selling activities.
* Post Termination (6 months):
The User/Associate shall not engage, directly or indirectly, in distributing or promoting similar products/services.
TERMINATION
The Company may review User/Associate performance periodically. Termination may result from:
1. No purchases made within two years.
2. Violation of any terms of this Agreement.
3. Submission of false or misleading information.
4. Loss of Indian citizenship.
5. Criminal conviction.
6. Voluntary resignation.
7. Engagement in competing or harmful business activities.
8. Breach of Agreement provisions.
Notice of termination will be issued, followed by termination after 30 days if unresolved.
RETURN OF COMPANY MATERIALS
Upon termination, the User/Associate shall return all confidential materials and cease any use or disclosure of Company proprietary information.
CONFIDENTIALITY
The User/Associate shall not disclose or misuse any confidential Company information acquired during or after their association.
JURISDICTION
All disputes (excluding grievance redressal) shall be subject to the exclusive jurisdiction of the courts in Delhi, including the Hon’ble High Court of Delhi.
